What happened
Emaar Properties told the Dubai Financial Market on 4 November that it intends to offer AED 15 in cash for each Emaar Development share held by outside investors. That is above Emaar Development’s closing price of AED 14.58 on the day of the announcement, after the shares rose 10.7% on 3 November and 4.9% on 4 November as the market anticipated the deal.
At AED 15 a share, Emaar Development is valued at about AED 60 billion. Because Emaar Properties already owns roughly 79%, buying the remaining shares would cost it in the region of AED 12.5 billion. Emaar has done this before: in 2021 it took its listed malls business private through an all-share deal.
Why Emaar wants 100%
Emaar Development is the group’s main cash generator, because it is the business that sells off-plan homes in communities such as Dubai Hills Estate, Dubai Creek Harbour, Emaar South and The Valley. Owning all of it lets Emaar Properties use that cash across the whole group, for recurring-income assets such as malls and hotels, international expansion and dividends, without sharing it with minority shareholders.
What it means for off-plan buyers
If you already own an Emaar off-plan unit, a change in who owns the shares does not by itself change the company you signed your sale and purchase agreement with, your payment plan or your handover date. In Dubai, payments for registered off-plan projects go into a project escrow account regulated by the Dubai Land Department, and your unit stays registered in your name on the Oqood interim register.
If you are about to buy, the deal is a vote of confidence by Emaar in its own development pipeline. It is not a reason to rush or to discount a project. Judge each launch on its location, price per sq ft, payment plan and the number of homes being handed over nearby in the same year.
If you hold Emaar Development shares, this is a corporate offer, not property advice. Follow the formal offer document once the board approves it, and speak to a licensed financial adviser.
The market around the deal
The offer comes as Dubai’s sales recover. Residential sales reached AED 25.15 billion across 10,178 transactions in October 2026, up 12.4% in value on September. Off-plan homes made up more than 62% of those deals, and nearly 80% of residential sales were below AED 3 million.

Frequently asked questions
Is Emaar Properties buying Emaar Development?
Yes, it intends to. On 4 November 2026 Emaar Properties announced a voluntary cash offer of AED 15 per share for up to 100% of the Emaar Development shares it does not already own. The offer is subject to approval by the Emaar Properties board.
How much is Emaar paying per share?
AED 15 per share in cash, above Emaar Development’s closing price of AED 14.58 on 4 November 2026.
How much is Emaar Development worth?
At the AED 15 offer price, about AED 60 billion for the whole company.
How much of Emaar Development does Emaar Properties own now?
About 79.16%. The offer covers the remaining shares held by other investors.
What is the difference between Emaar Properties and Emaar Development?
Emaar Properties is the parent group, which also owns malls, hotels and international businesses. Emaar Development is its UAE build-to-sell arm, the company that develops and sells off-plan homes in Emaar’s master communities.
Will Emaar Development be delisted?
The announcement does not say so. If Emaar Properties ends up owning 100% of the shares, Emaar Development would no longer have outside shareholders, and delisting would be the likely next step.
Does the buyout affect my Emaar off-plan payment plan or handover?
A change in share ownership does not by itself change your sale and purchase agreement, payment plan or handover date. If you have a question about your own contract, check it with the developer or with us.
Is my money safe if I buy Emaar off-plan in Dubai?
Payments for registered off-plan projects in Dubai are paid into a project escrow account regulated by the Dubai Land Department and released to the developer against construction progress. Always pay into the escrow account named in your contract.
Should I buy Emaar off-plan now?
Choose on the project, not the headline. Compare location, price per sq ft, payment plan, handover date and nearby supply. We can put two or three current launches side by side for you.
Has Emaar bought out a subsidiary before?
Yes. In 2021 Emaar Properties took its listed malls business private through an all-share transaction.
